Transaction Description
Gemstone acted as financial advisor for OmniCar in their IPO. In connection with the planned listing on AktieTorget, OmniCar carried out a public share issue of approximately SEK 14 million. The issue costs are estimated to amount to approximately SEK 1.9 million. Shareholders were invited to subscribe for shares in OmniCar at a price of SEK 5.40 per share. The company valuation in the new share issue was set at approximately SEK 53.4 million (pre-money). The issue was fully subscribed.

Company Description
OmniCar has developed a software solution for the car industry. The solution is developed for Citroën in Scandinavia and has been developed by OMI A/S (‘OMI’), a digital marketing agency started by OmniCar co-founder and board member Claus T. Hansen. OmniCar is a spin-off from OMI. The company was formed in 2016 because Citroën was decentralised in the Nordics, the interest and potential of the software was so extensive and because OmniCar’s board and management saw very good business opportunities. OmniCar’s team has extensive experience in IT, sales and marketing.
