Gemstone acted as financial advisor for Spermosens in their IPO (Initial Public Offering). In connection with the listing, it was possible for the public to acquire units in the Company totalling approximately SEK 24 million and one free warrant series TO 1. Spermosens received subscription commitments in advance of approximately SEK 14 million, corresponding to approximately 58.3 per cent of the offering. The Company’s listing was conditional on the required ownership spread being achieved and that the offer was subscribed to a minimum of SEK 22 million, corresponding to a subscription rate of approximately 92 per cent. The offer was fully subscribed to approximately SEK 156.4 million, corresponding to a subscription rate of 652%. In light of the oversubscription, the Board decided to utilise the possibility of the over-allotment issue previously communicated in the listing memorandum, in which the Company issued an additional 932,503 units at the same price as in the offering. Spermosens received through the offering and the over-allotment issue approximately SEK 29 million (including subscription commitments and bridge issue) before deduction of issue costs of approximately SEK 2.6 million. Through the offering and the over-allotment issue, the Company received approximately 3,000 new shareholders and the first day of trading on Spotlight Stock Market was 5 May 2021.
